Terms and Conditions

1. Scope

1.1 These Terms and Conditions (hereinafter "T&C") of data information intelligence GmbH (hereinafter "Seller") apply to all contracts which a consumer or entrepreneur (hereinafter "Customer") enters with the Seller in its online store. The inclusion of the Customer's own terms is contradicted, unless it is otherwise agreed.

1.2 "Digital Content" within the meaning of this T&C are all information not contained on a tangible medium, which are produced in digital form and provided by the Seller while regulating its usage rights in these terms and conditions.

2. Contract

2.1 The product descriptions in the online shop of the Seller do not constitute binding offers on the part of the Seller, but intended to submit a binding offer by the Customer.

2.2 The Customer can submit the offer via the in the online shop of the Seller integrated online order form. Here the Customer selects goods and / or services and puts it into the virtual shopping cart. By clicking the ordering process button the Customer enters a legally binding contract regarding the goods and / or services contained in the basket.

2.3 The Seller may accept the offer within five days after receipt of the order · by transmitting the Customer a written confirmation of order per eMail · or by delivering the ordered goods

2.4 The period for acceptance of the offer starts on the day following the dispatch of the offer by the Customer and shall end with the end of the fifth day, which follows the dispatch of the offer.

2.5 In submitting an order on the online order form of the Seller, the content of the contract will be stored by the Seller and also send to the, together with these Terms and Conditions be e-mail.

3. Prices and Payment Conditions

3.1 The indicated prices are overall net prices that do not include VAT.

3.2 For deliveries to countries outside the European Union other costs may incur in individual cases which shall be borne by the Customer. These include costs for the money transfer through banks (e.g. bank transfer fees, exchange fees) or legal import duties or taxes (e.g. customs duties). Such costs may also be incurred if the delivery is not made outside the European Union, but the Customer makes payment from a country outside the European Union with regard to the money transfer.

3.3 The Customer receives an invoice at receipt of his order via email.

3.4 The invoice shall be paid within 30 (thirty) days from receipt of invoice, unless otherwise agreed

4. Delivery and Shipping Conditions

4.1 The Digital Content is send by email to the email address specified by the Customer.

5. Rights of Use

5.1 The Customer receives the right to use the data to an unlimited extent within its own company. This right includes the right to share, reproduce and disseminate data with colleagues, copyright or copyright features must be kept visible. It is not allowed to publish the data, completely or partially, as well as transfer it to third parties, service providers, suppliers, partners and their affiliates without prior approval.

5.2 The Customer shall take any and all reasonable measures to prevent the unauthorized use and disclosure of the Digital Data, and to prevent unauthorized persons or entities from obtaining or using the Data. The Customer further agrees to refrain from directly or indirectly taking any action which would constitute or facilitate the unauthorized use or disclosure of such information.

5.3 The above limitations do not apply to any portion of the digital content which · The Customer already had in written form prior to this Agreement, is or becomes accessible to the public other than through breach of this Agreement, · became known to the Customer from a source other than by a breach of an obligation of confidentiality owed to The Seller; is independently developed by or for the Customer without reference to Seller's Digital Content. The Customer has the burden of proof for the existence of such an exception.

6. Exclusion of Warranty

The Seller will deliver detailed market information, which has been collected from different sources, mainly telephone interviews with relevant individuals. All information is presented to the best of our knowledge and belief, and collected under use of professional diligence. However, market information can change in real life situations or can become outdated or obsolete very quickly and can otherwise be interpreted in different ways. For this reason the Seller shall not assume any liability for potential damage caused by the use of the data provided to our Customers.

7. Jurisdictions and Applicable Law

For all controversies out of the license agreement and this Terms and Conditions the District Court Leipzig shall have jurisdiction. The applicable law shall be that of the Federal Republic of Germany.
